Selling Your Business - a free plain English guide

A free plain English guide to selling an owner-managed business: the stages, where deals get stuck, and which documents actually matter. Written for owners, not for solicitors.

Cover of Selling Your Business by Steven Mather

Selling a business is the biggest transaction most owners ever do, and almost all of them are doing it for the first time. The other side has usually done it before. This guide is my attempt to level that up a bit.

What is in it

  • The four stages of a sale, and roughly how long each one takes
  • Heads of terms, and why the arguments later in a deal are nearly always arguments about something the heads left vague
  • Due diligence, what a buyer asks for and how to get ahead of it
  • Warranties and indemnities in plain English, and which risks sit where
  • Earn-outs, deferred consideration and the ways they go wrong
  • What the documents are for, and which ones actually matter

It is written for owners rather than for other solicitors, so there is no Latin and very little law for its own sake.
